This policy governs
the affiliate commission relationship between the Merchant; Nodus Collection
Ltd of 2A South Harbour, Penryn, TR10 8LR, United Kingdom and the Publisher in
accordance with UK Law. By signing up to this affiliate program the Publisher fully
agrees to these terms and conditions.


1.           The
Agreed Commission.

1.1. The Agreed Commission is percentage of the gross value of a sale on which is generated
by the Publishers Affiliate Link and tracked by the Refersion affiliate

1.1.a. The gross value of a sale is
inclusive of any VAT and shipping fees of the sale.

1.1.b. The commission is a fix percentage usually 10% and is agreed by
both Merchant and Publisher prior to an affiliate link being approved.   

1.1.c. In accordance our websites Privacy Policy the tracking cookie
will remain active for up to 30 days.

2.           Payments,
Commission Statements & Tax.

2.1. The Merchant will pay the Publisher the agreed commission within 30
days of the end of each financial quarter as per the terms below, unless
otherwise agreed in writing:

2.1.a. A minimum threshold of £50.00 commission must be met before a
regular payment is made. The Merchant will accept and pay balances below £50.00
on request.

2.1.b. A Commission Statement will be provided for each payment and
payments will be made by Paypal or Bank Transfer.

2.1.c. The default Payment Periods are in line with financial quarters,
ending 31st March, 30th June, 30th September, 31st
December. Monthly Payment Periods are available on request.

2.1.d. Payments may be requested at any point and once approved will be
paid within 30 days of request being received.

2.2. VAT & Tax - If you are required to add VAT or tax to the commission
due, the Merchant will require a full and valid VAT invoice from the Publisher
before any payments can be made.

2.2.a. It is the sole responsibility of the Publisher to make sure the
correct VAT or tax is applied.

2.2.b. The Merchant will not be held responsible nor liable to pay any miscalculation
of VAT or tax   


          Placement of Affiliate Links and
Use of the Merchants Assets (Branding, Visual Content, Trademarks and Intellectual

3.1. The Merchant permits the Publisher to publish any assets from a
pre-approved set of the Merchants brand assets (available to download below)
for the sole purpose of articles about the Merchant or Merchants Products, in accordance
with the terms below:

3.1.a. The Publisher may download and use the Merchants Pre-Approved Brand
Assets (also known as a Media Kit) from this Dropbox folder - …………..

3.1.b. The Publisher may only publish these materials in articles or
posts directly relating to the Merchant or the Merchants Products.

3.1.c. The Publisher may use the Merchants brand assets on their social
media accounts or mail outs only when in reference to the Merchant or the Merchants
products or to articles. features or posts that reference the Merchant or
Merchants Products.  

3.1.d. The Publisher may NOT us any of these assets to promote their own
publication without written concept from the Merchant.

3.1.e. The Publisher may NOT distribute the Merchants Asset in any other
way without prior written consent from the Merchant.

3.1.f. The Publisher may NOT publish any of the Merchants Assets on any
form publication that is deemed by the Merchant to contain offensive content or
promote hate.    


3.2. The Merchant only permits the Publisher to place affiliate links as
detailed below:

On their own website, social media channels and mailing lists.

3.2.b. Placement of affiliate links is prohibited from Discount or
Coupon websites or mailing outs.

3.2.c.  Placement of affiliate
links is prohibited from publications deemed by the Merchant to contain
offensive content or promote hate.    


3.3. The Practice of ‘Self-Dealing’ where by the Publisher is found to
be profiting from purchases made by themselves, their friends, acquaintances or
family is strictly prohibited.

3.4. If the Publisher is deemed by the Merchant to have breached any
clauses in section (3.1 3.2 or 3.3),
funds may be withheld and the publisher suspended or blocked on a potentially permanent


4.           The Merchant reserves the right to amend or
change these terms without notice at any point.

5.           Limitation of Liability and Indemnification

5.1. Limitation
of Liability

5.1.a. In no circumstances shall the Merchant
be liable, in contract, tort (including negligence or breach of statutory duty)
or otherwise howsoever, and whatever the cause thereof (i) for any loss of
profit, business, contracts, revenues, or anticipated savings, or depletion of
goodwill, or (ii) for any special, indirect or consequential damage of any
nature whatsoever of the Publisher.


5.2.a. Publisher agrees to defend, indemnify and hold Nodus
Collection Ltd , its parent and affiliates, and their officers, directors and
employees harmless from any claim, liability, loss, damage or expense,
including legal fees, which arises, grows out of, results from, or is based on
(i) any claim of (a) unlawfulness, (b) infringement of any proprietary or
intellectual property rights including without limitation claims related to the
product(s) and/or the product content, (c) unfair competition or (d) unfair or
deceptive trade practices in connection with the product content furnished by
the Publisher; (ii) any claim of negligence, recklessness or wilful misconduct
on the part of the Publisher; (iii) any breach of this Agreement;  (iv) any tax, levy, impost, duty or other
charge, fee, deduction or withholding of a similar nature (including any
penalty, surcharge or interest payable in connection with the
failure to pay, or delay in paying, any of these) that is payable by Nodus
Collection Ltd in relation to the products; or (v) any other claim related to
the Nodus Collection Ltd’s participation and performance (or failure to
perform, as the case may be) under this Agreement.
